CODE OF BUSINESS PRACTICES AND ETHICS AND PROCEDURE FOR FILING AND PROCESSING COMPLAINTS

HISTORY AND REASON FOR THE CODE OF ETHICS

The Tradeloop Code of Business Practices and Ethics and the Ethics Complaint procedure is based on the longstanding procedures of the Information Technology Resellers Association (ITRA) and the Digital Dealers Association (DDA), former industry Trade Associations.

Members ("Members") of Tradeloop's Trading Network ("Tradeloop" or the "Network") pledge to honor and abide by the Tradeloop Code of Business Practices and Ethics (the "Code") to ensure high standards in all dealings and business transactions among the Tradeloop Community.

Tradeloop seeks to enforce the Code through a volunteer Ethics Committee consisting of industry peers which considers alleged violations and renders sanctions. If you are interested in participating on the Tradeloop Ethics Committee, please Customer Service .

The Code reflects the dedication of the Members to maintain the highest level of ethics and professional responsibility in their relationship with the public, other members of the industry and customers.

The Code

Tradeloop and the Ethics Committee will warn Members of problems with non-payment, but will not act as a collection agency. Your company must have shown due diligence in pursuing the debt, and must have written off the debt as uncollectable per generally accepted accounting procedures, before Tradeloop will pursue the case. At a minimum, to pursue your case, Tradeloop will require:
  1. The length of time the fee was receivable
  2. Documentation of internal attempts to collect the funds
  3. The name and contact information for the collection agency used to attempt to collect the funds (will be kept confidential)
  4. A statement from an accountant or Corporate Officer stating the amount and date the funds were written off as uncollectable
Tradeloop Members agree to the following:

Article 1

To maintain and enforce high standards of ethical professional conduct making Membership in Tradeloop a recognized mark of experience, integrity and competence.
 

Article 2

To regard as confidential all information concerning the business and affairs of the customer.
 

Article 3

To conduct business in a manner which brings credit to and enhances the reputation of the industry.
 

Article 4

To publicize products and services in a professional manner, avoiding all conduct, practices and promotions likely to discredit the industry.
 

Article 5

To broaden public understanding and enhance confidence in the industry so that customers and users will be encouraged to use Tradeloop Member products and services as their primary resource.
 

Article 6

In keeping with these principles, Members of Tradeloop make the following pledge:
 

  1. To follow through and complete any agreement made verbally or otherwise to any Tradeloop Member, prospect or customer.

     
  2. To conclude a transaction in a competent and professional manner once the parties have agreed to complete a specific transaction.
     
  3. To honor an offer that has been accepted as expeditiously as possible.

     
  4. To fully disclose all limitations on the authority of an employee or agent representing a Member or Subscriber in a transaction.
     
  5. To use only one name, identity or affiliation in all negotiations or in a competitive bidding environment.

     
  6. To refrain from disparaging others by statement or innuendo.
     
  7. To respond to any complaint alleging violation of the Code and participate in all proceedings prescribed by Tradeloop.

Conclusion

The Ethics Committee reviews infractions of the Code with regard to ethical behavior and the integrity of Tradeloop Members. Members found in violation of the Code will be subject to disciplinary action.
 

Procedure For Processing Ethics Complaints


Preamble

This Procedure for Filing and Processing Complaints (the "Complaint Procedure") has been developed to provide an orderly process for resolving complaints alleging violations of the Tradeloop Code of Business Practices and Ethics. The Complaint Procedure explains how complaints will be filed and processed by the Ethics Committee. The Ethics Committee consists of volunteer Wholesale Members of Tradeloop. The Committee does not render awards of monetary damages.
 

Definitions

"Tradeloop" as used herein means the Trading Network and B2B Marketplace provided by Tradeloop Corporation.

The term "the Code" as used herein means the Tradeloop Code of Business Practices and Ethics.

The term "Ethics Committee" as used herein means a volunteer committee of Tradeloop Members, organized by Tradeloop.

The term "Complainant" as used herein means the party filing a complaint.

The term "Respondent" as used herein means the party against whom a complaint is filed.

The term "Service" as used herein means the process by which a Respondent receives a complaint.

The term "Member" as used herein means a subscriber to Tradeloop's Trading Network.
 

  1. FILING A COMPLAINT.
     
    1. Against Members.

      Members may file complaints against other Members of Tradeloop. By filing a complaint, a member agrees to be bound by the Code, follow the Complaint Procedure and participate in proceedings hereunder.
       
    2. Against Non-Members.

      Tradeloop does not have jurisdiction over non-members. However, if a non-member is willing to abide by the Code and participate in these proceedings, the Ethics Committee, at its discretion, may process the complaint.
       
  2. COMPLAINT PROCEDURE.
     
    1. Form of Complaint.
       
      1. All complaints must be made by filling out the complaint form found here
         
      2. The complaint must include the following: (a) a brief summary of the facts; (b) the party against whom the complaint is filed; (c) the specific Articles of the Code alleged to have been violated; and (d) the act that constitutes the alleged violation. Copies of all relevant supporting documents must be submitted with the complaint.
         
    2. Ethics Committee Procedures.
       
      1. Processing and Service of Complaint and Response.
         
        1. Upon receipt of the completed complaint and all relevant documents, Tradeloop will attempt to amicably resolve the matter through telephone contact with the parties.
           
        2. If the matter is not amicably resolved, Tradeloop will request written copies of all documentation and a written response to the complaint from the defendant. No response within seven (7) business days from the defendant will be ruled the defendant chose to not dispute the complaint. The complaint will be posted online for the Membership.
           
        3. Upon receipt of the completed complaint and all relevant documents, and the response of the Defendant, the case will be processed and prepared for online review by the Ethics Committee (the "Committee").
           
        4. Members of the Committee will review the complaint and make an online determination as to whether the facts, as alleged, constitute a violation of the Code.
           
        5. If a majority of the ethics committeee determine that a violation did not occur, the matter will be closed.
           
        6. If the majority of the committee determine that a violation did occur, the complaint will be posted to the Membership.
           
        7. Complaints will be removed at the request of the complainant, or the best discretion of Tradeloop Management. Neither the defendant or complaintant leaving the Tradeloop Community will necessarily result in the removal of a posted complaint.
           
  3. WITHDRAWAL.
     
    1. In the event a party attempts to withdraw its complaint or the parties agree to dismiss the complaint, the Ethics Committee reserves the right to take further action on the complaint. Once a complaint has been heard, settlements made between the parties will not alter the Ethics Committee's findings.
       
  4. THREE COMPLAINTS AGAINST A COMPANY.
     
    1. In the event three complaints resulting in Sanctions have been filed against a party within any twelve-month period, Tradeloop shall review and, if appropriate, notify the Membership of the following:
       
      1. The names of the parties to each complaint;
         
      2. The date of filing of each complaint; and
         
      3. The outcome of each complaint.
         
  5. RESPONSES TO INQUIRIES.
     
    1. Matters of the Ethics Committee are and will remain private and confidential, except in the issuance of a complaint.
       
    2. Matters involving posting of a Complaint are available to the Tradeloop Wholesale Community.
       
    3. A copy of the notice sent to the Membership regarding three complaints against one company, pursuant to Paragraph V, shall be furnished in response to any inquiry about such company for the twelve months following the notice regarding the three complaints filed.
